Terms and Conditions

Definitions

  • "Provider", "TaxVerge": TaxVerge and its affiliates that operate the software and services.
  • "User": an individual or entity that registers for or uses the Services.
  • "Client": a natural person or entity for whom a User prepares and files a tax return using the Services.
  • "Services": the software, APIs, integrations, documentation, support, and related services provided by TaxVerge.
  • "Government Interfaces": any transmission/filing to, and interaction with, government tax portals, APIs or authorities.

Communications, WhatsApp, calls and email

By registering for the Services and providing contact details, User agrees that TaxVerge may contact User about the account and the Services using the mobile number, email address, and other details User provides. This includes account-related messages on WhatsApp and SMS (for example registration and login confirmation, one-time passwords, ticket or support updates, and other service notices).

User also agrees that TaxVerge may send promotional and marketing communications by telephone calls and email. These may include product updates, offers, demos, and other information about TaxVerge services.

User may opt out of promotional calls or emails, or of WhatsApp account messages, by writing to [email protected] or by following any unsubscribe instructions in an email. TaxVerge will honour such requests. Messages that are required to operate or secure the account (such as one-time passwords) may still be sent where permitted by law. WhatsApp is operated by Meta; User’s use of WhatsApp is also subject to Meta’s terms.

Acceptance of Terms

By registering or using the Services, User accepts and agrees to these Terms. Continued use after an update constitutes acceptance of the revised Terms. If User does not agree, User must stop using the Services and close the account.

Eligibility and Authority

User represents and warrants that: (a) User is at least eighteen (18) years old; (b) User has full power, authority and legal right to enter into these Terms; (c) User is authorized by any Client to input, transmit and file Client data; and (d) User is eligible under applicable law to use these Services. Use is limited to residents and taxpayers of India unless TaxVerge expressly permits otherwise.

Account Registration and Security

User shall provide accurate, current and complete information and promptly update it. User is solely responsible for safeguarding account credentials and for all activity that occurs under the account. User must notify TaxVerge immediately of any unauthorized access or security breach.

User Obligations and Data Accuracy

User is solely responsible for collecting any required consents from Clients, and for the accuracy, completeness and legality of all data entered into the Services. TaxVerge does not audit or verify user data for correctness; Users must review all outputs and filings before submission to any authority.

License and Use Rights

Subject to these Terms and payment of applicable fees, TaxVerge grants User a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful tax preparation and related activities for Clients. All intellectual property rights in the Services remain with TaxVerge or its licensors.

Restrictions and Prohibited Conduct

User shall not: (a) use the Services for unlawful or fraudulent activities; (b) reverse-engineer, decompile, copy, reproduce, modify or create derivative works of the Services; (c) resell, sublicense or redistribute the Services without TaxVerge's written consent; (d) use automated means to access or harvest data; (e) share login credentials across multiple, unrelated Users; or (f) circumvent usage, licensing or security controls. Violations may result in suspension, termination and legal action.

Government Filings and Authorizations

By using Government Interfaces via the Services, User authorizes TaxVerge to submit, receive and, where applicable, sign and transmit data on User's or Client's behalf. User remains responsible for verifying all data and for compliance with filing requirements and deadlines.

Fees, Payment and Refunds

Fees (if any) are specified on the TaxVerge pricing page or invoice. All fees are non-refundable. TaxVerge may change pricing without any prior notice.

Data Privacy, Processing and Retention

TaxVerge will process personal data in accordance with its Privacy Policy and applicable data protection laws. TaxVerge may share data with Government Authorities as required by law. Sensitive information will be handled and stored with industry-standard security measures and encryption at rest and in transit. User remains responsible for obtaining and maintaining any consents required to lawfully provide Client data to TaxVerge.

Backups and Data Export

User should maintain independent backups of all data. TaxVerge will retain and may delete data subject to retention policies, legal obligations and account termination.

Updates, Maintenance and Downtime

TaxVerge may update, modify or discontinue features of the Services. TaxVerge will use commercially reasonable efforts to provide advance notice for scheduled maintenance and to restore critical functionality promptly. Emergency fixes may be deployed without prior notice where required for legal or security reasons.

Support and Service Levels

TaxVerge will provide support on business working hours via phone and email. TaxVerge aims to address critical issues within 48 hours and critical legal/departmental updates within 48 hours or the next business day, subject to scope and complexity. These timelines are targets and not guaranteed service levels unless set out in a separate SLA.

Warranty Disclaimer

Except as expressly provided in a separate written agreement, the Services are provided "as is" and "as available." To the maximum extent permitted by law, TaxVerge disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, uninterrupted service and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, TaxVerge's aggregate liability to User for any claim arising out of or related to these Terms or the Services shall not exceed the total fees paid by User to TaxVerge in the twelve (12) months preceding the claim (or INR [insert cap] if no fees were paid). TaxVerge shall not be liable for indirect, incidental, consequential, punitive or special damages, including lost profits, loss of data, or business interruption. Nothing in these Terms excludes or limits liability that cannot be lawfully excluded (e.g., death or personal injury caused by negligence).

Indemnification

User shall indemnify, defend and hold harmless TaxVerge and its officers, directors, employees and agents from any third-party claim, liability, loss, damage or expense (including legal fees) arising from User's breach of these Terms, User's misuse of the Services, negligence, willful misconduct or incorrect or unlawful data or filings.

Termination and Suspension

TaxVerge may suspend or terminate User access immediately for breach of these Terms, suspected fraud, unlawful activity, security concerns, or as required by law. On termination, User's access ceases; TaxVerge may archive or delete data in accordance with its retention policy. Fees are not automatically refunded on termination unless expressly stated.

Intellectual Property Rights

All right, title and interest in the Services, documentation, software, trademarks, logos and related materials are owned by TaxVerge or its licensors. User retains ownership of data submitted to the Services, subject to TaxVerge's right to process and transmit such data for the purpose of providing the Services.

Confidentiality

Each party will protect confidential information of the other using reasonable care and will not disclose it except to employees, advisors or contractors who need to know, and who are bound by confidentiality obligations. Confidential information does not include information that is public, independently developed, or rightfully received from a third party.

Compliance with Law and Cooperation with Authorities

User shall comply with all applicable laws, rules and regulations. TaxVerge may disclose User data to government authorities, courts or law enforcement in response to valid legal process or when required by law.

Changes to Terms and Notices

TaxVerge may revise these Terms from time to time. Material changes will be notified via email or prominent notice in the Services. Continued use after notice constitutes acceptance. Legal notices to TaxVerge must be sent to the address or email specified on TaxVerge's website.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes that are not resolved by negotiation shall be subject to the exclusive jurisdiction of the courts located in Moga, Punjab, India, except where mandatory law provides otherwise.

Severability and Waiver

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce a right does not constitute waiver of that right.

Entire Agreement

These Terms, together with any order form, fee schedule, privacy policy and any signed agreement between the parties, constitute the entire agreement and supersede prior understandings relating to the subject matter.
